By engaging with It Services BD — whether through a website visit, project inquiry, or formal agreement — you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you are acting on behalf of an organization, you represent that you have the authority to bind that entity to these terms.

It Services BD provides digital product and engineering services including, but not limited to: UI/UX design, web development, software engineering, brand strategy, and AI integration. Specific deliverables, timelines, and milestones are defined in individual project agreements or statements of work.

• Provide clear project briefs, timely feedback, and necessary assets.
• Designate a single point of contact for project decisions.
• Provide accurate and complete information relevant to the project scope.
• Respect intellectual property rights of third-party materials provided.

Fees are as agreed in the project proposal or statement of work. Invoices are issued according to the agreed payment schedule. Late payments may incur a 2% monthly interest charge. Services may be paused if payment is overdue by more than 14 days.

Upon full payment, all custom work product created specifically for a client — including designs, code, and assets — transfers ownership to the client. Pre-existing libraries, frameworks, and our proprietary methodologies remain the intellectual property of It Services BD. Portfolio usage rights are granted to us for showcasing the work.

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This obligation survives the termination of the project. NDAs are available upon request for projects involving sensitive business data.

Each project includes a defined number of revision rounds as specified in the agreement. Additional revisions or scope changes beyond the original brief are subject to a separate change order with associated fees and timeline adjustments.

It Services BD's total liability shall not exceed the total fees paid by the client for the specific project giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or data loss, except where prohibited by applicable law.

Either party may terminate a project agreement with 14 days' written notice. Upon termination, the client is responsible for payment of all work completed up to the termination date. All delivered work product and materials must be returned or destroyed as appropriate.

These Terms are governed by the laws of the United Kingdom. Any disputes arising from these terms shall be resolved through good-faith negotiation before resorting to formal legal proceedings.

We may update these Terms from time to time. Continued use of our services after changes constitutes acceptance of the revised terms. Material changes will be communicated via email.
